ELECTIONS!Elections are coming up for 2012 for two year terms for the following: Secretary We want the membership to please consider running for these positions so that we have good, qualified individuals who have a sincere interest in being at the top of the helm. Position descriptions are as follows: The Secretary certifies and keeps the bylaws and the Standard Operating Procedures. She creates and distributes the minutes of the Board of Directors on a monthly basis. She's custodian of the records and submits ballots yearly according to the bylaws. Here's a quote from Article 4, Section 8 of the bylaws addressing the duties of the Secretary:
“Certify and keep at the principal office of the corporation the original, or a copy, of these Bylaws as amended or otherwise altered to date.
Keep at the principal office of the corporation or at such other place as the Board may determine, a book of minutes of all meetings of the directors, and, if applicable, meetings of committees of directors and of members, recording therein the time and place of holding, whether regular or special, how called, how notice thereof was given, the names of those present or represented at the meeting, and the proceedings thereof.
See that all notices are duly given in accordance with the provisions of these Bylaws or as required by law.
Be custodian of the records and of the seal of the corporation (if there is one) and affix the seal, as authorized by law or the provisions of these Bylaws, to duly executed documents of the corporation.
Keep at the principal office of the corporation a membership book containing the name and address of each and any members, and, in the case where any membership has been terminated, she shall record such fact in the membership book together with the date on which such membership ceased.
Exhibit at all reasonable times to any director or member of the corporation, or to her agent or attorney, on request therefor, to the extent required by the laws of the District of Columbia, the Bylaws, the membership book, and the minutes of the proceedings of the directors of the corporation.
In general, the Secretary will perform all duties incident to the office of Secretary and such other duties as may be required by law, by the Articles of Incorporation, or by these Bylaws, or which may be assigned to her from time-to-time by the Board of Directors. The Board may add to, take away from, or otherwise readjust the Secretary's duties as necessary for the smooth operation of the organization.”
Specific Duties Required or Assigned Custodian of (a copy) Organization’s files (original documents remain with the parties collecting the info; i.e., Tax records, Non-profit filings, Membership lists) - Prepare ballots IAW the Bylaws - Submit all documents (ie Bylaws, Minutes, etc) that can be published on the web to the Webmaster for publication
The Scholarship Director serves on a board that is dedicated to the publication, selection and awarding of scholarships to deserving Whirly-Girls and a non-Whirly-Girl who is seeking an add-on rating. Your duties will include working with three other members at the direction of the VP Scholarships, monitoring awardee progress, helping during the application and selection process. You will not be involved in screening or the actual selection of the winners as that is delegating to not only the manufacturers that provide in-kind scholarships but to independent judges. This is a two year term. The bylaws in Article 4, Section 11 describe the duties of the Scholarship Directors as follows:
“The Scholarship Directors shall assist the Vice President – Scholarships in generally fulfilling the duties of administering the annual scholarships and the Directors may be assigned specific tasks to complete as requested by the Vice President – Scholarships”.
Be available to assist the Vice President of Scholarships during the yearly scholarship processing. Time line is usually October to December.
The Board may add to, take away from, or otherwise readjust the Scholarship Director’s duties as necessary for the smooth operation of the organization.”
